Position Description

We are seeking an Associate General Counsel, Corporate to support the growth of our company. This role would be deeply involved in driving and closing critical transactions and initiatives for scaling the business.

Roles & Responsibilities

  • Provide legal support for all aspects of debt financing and capital raises, including coordination of outside counsel
  • Review, draft, provide comments on corporate and commercial transaction documents (e.g., term sheets, LOIs, loan and security agreements, guarantees, subordination agreements, participation agreements, cash management services documentation, intercompany loan documentation and cash pooling arrangements)
  • Review, draft, and negotiate a wide range of legal documents and commercial agreements that support and enable our business operations (e.g., NDAs, vendor contracts, professional services agreements, marketing and sales agreements, MSAs, SOWs, strategic partnership agreements)
  • Maintain and manage various company-wide legal templates (e.g., purchase and sale agreements, leases)
  • Respond to due diligence requests
  • Provide business-focused legal advice and support in connection with various real estate initiatives across the organization

Requirements

  • Licensed attorney in good standing (NY preferred) with strong academic credentials
  • 5-8 years of top-tier law firm or in-house experience as a corporate, transactional, or debt capital markets associate
  • Strong contract drafting and negotiation skills
  • Experience with a wide range of real estate financing arrangements (e.g., asset-based lending, senior, mezzanine, bridge loans, revolving credit facilities, portfolio sales, purchase money financing, etc.)
  • Familiarity with startup fundraising, equity capital raises, venture debt
  • A willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities within the team on an “as-needed” basis
  • A strong ownership mindset and ability to adapt and thrive in ambiguous or uncertain environments
  • Bonus points for experience with residential real estate transactions or securitizations, property management, fintech, or proptech

  • Competitive base salary commensurate with experience and geographic location. Range: $175,000 - $205,000
