Full Job Description

USA Clinics Group is seeking a highly motivated and experienced Associate General Counsel to join our legal team. As Associate General Counsel, you will play a critical role in providing legal guidance and support to our organization. You will work directly with the General Counsel and provide legal advice on various matters including contracts, regulatory compliance, litigation, and corporate governance.

Responsibilities
Contract Review and Negotiation:

  • Draft, review, and negotiate a wide variety of contracts, including physician employment agreements, vendor contracts, lease agreements, and service agreements.
  • Ensure that contracts comply with all legal and regulatory requirements.
  • Identify and mitigate legal risks associated with contracts.

Regulatory Compliance:

  • Stay current on healthcare laws and regulations and ensure compliance with applicable laws.
  • Advise on compliance issues and develop and implement policies and procedures to ensure compliance with legal and regulatory requirements.
  • Assist with regulatory filings.

Litigation Support:

  • Manage and oversee litigation matters, including responding to subpoenas and other legal inquiries.
  • Coordinate and work with external counsel as necessary.
  • Conduct legal research and analysis to support litigation strategy.

Corporate Governance:

  • Provide support for corporate governance matters, including board meetings and compliance with corporate formalities.
  • Assist with the preparation of corporate policies and procedures.

General Legal Support:

  • Assist with legal research and analysis on various legal issues.
  • Provide legal advice and guidance to internal stakeholders.
  • Other duties as assigned.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school, required.
  • Active member of the bar in good standing, required.
  • Minimum of 5 years of experience practicing law, with a focus on healthcare or corporate law, preferred.
  • Strong knowledge of healthcare laws and regulations.
  • Experience in reviewing and negotiating contracts.
  • Excellent communication and interpersonal skills.
  • Strong analytical and problem-solving abilities.
  • Ability to work independently and handle multiple tasks and priorities.
  • Attention to detail and ability to work under pressure.
