POSITION SUMMARY

This role will serve as the right hand of the legal department who will primarily manage and advise on a number of legal matters. This individual will report to the Corporate Counsel and impact the company growth by working across teams to assist with a variety of corporate, commercial, employment, regulatory, compliance, supply chain, international trade, intellectual property, and operational matters.

Location

This position is a full-time, hybrid-based position which will be located in either Austin, Texas or Louisville, Colorado office.

JOB RESPONSIBILITIES

The duties and responsibilities outlined below include essential functions of the role. Depending on business needs, this role may perform a combination of some or all of the following duties. Duties, responsibilities, and activities may change, or new ones may be assigned at any time with or without notice.

  • Lead entire contract lifecycle, including reviewing, drafting, negotiating, recording terms, for non-disclosure agreements, consulting agreements, etc. and manage company’s contract management data base
  • Participate in design and maintenance of workflows of the company’s Legal/Regulatory/Contracts functions
  • Help design, implement, and maintain processes for commercial agreement management and corporate compliance
  • Organize and maintain corporate records, governance, regulatory compliance, local and federal business filings, intellectual property portfolio, corporate and equity documentation, and related initiatives
  • Build and maintain library of forms, clauses, templates, training, and support materials
  • Manage critical and sensitive company documents, assist Finance team with equity management platform to oversee all participant equity plan transactions (e.g., grants, exercises) and ensure that they are correctly processed in a timely manner
  • Assist with intake, triage, and prioritization of Legal/Regulatory/Contracts requests, including export and import compliance requests, while always clearly communicating assigned task updates and statuses
  • Support global offices and subsidiaries with legal, regulatory, compliance, contracts, proposals, projects and needs
  • Review and process legal invoices, law firm engagements and manage/track legal budget
  • Provide general assistance to the legal team as needed
  • Other duties or projects as assigned

Requirements

QUALIFICATIONS:  EDUCATION AND EXPERIENCE

  • Bachelor’s Degree required, Master’s or JD a plus
  • Eight years of experience as a paralegal, legal operations specialist, practice support professional, contract manager, or similar role with a law firm or in-house legal team
  • Experience working in deep tech start-ups and government contracting a plus
  • Knowledge of U.S. export control laws and regulations, including Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR) a plus
  • Attention to detail, efficient organization, excellent time management, and multitasking abilities
  • Proactive, entrepreneurial approach to recognizing needs, solving business challenges, anticipating issues, and developing solutions
  • Exceptional business judgement and ability to think strategically
  • Proficient in MS Office
  • Proficiency in contract management software/database (e.g., Conga, DocuSign)
  • Excellent verbal and written communication skills, able to effectively share information with technical and non-technical staff and understand and compose legal and formal documentation
  • Good collaboration skills, able to work in a team environment where engagement and participation are an expected part of successful job performance
  • This position may require access to information protected under U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR). Please note that any offer for employment may be conditioned on authorization to receive software or technology controlled under these U.S. export control laws and regulations without sponsorship for an export license

 

TRAVEL

Up to 10% travel may be required.

WORKING CONDITIONS and PHYSICAL REQUIREMENTS

Work will normally be performed in an office environment. Able to efficiently use automated office equipment such as laptops, copiers, and printers; able to effectively engage in communications (via phone, computer, or in-person). Will involve sitting, standing, walking, lifting, and carrying up to fifteen pounds.

The targeted base salary for this role is $104,600 to $130,750 on an annualized basis.

Will involve sitting, standing, walking, lifting, and carrying up to fifteen pounds.
