Full Job Description

The Paralegal will assist the inhouse legal department by providing research support services including document preparation and review; legal research, drafting correspondence, memoranda, reports, and other documents.

    • Managing Customer Contracts: Oversee the process of managing customer contracts, ensuring timely execution and compliance with company policies.
    • Utilizing Ironclad System: Serve as the primary administrator for the Ironclad system, managing contract workflows and ensuring accurate data entry and maintenance.
    • Overseeing CRA and Contract Processes: Manage the Contract Review and Approval (CRA) process, guiding contracts through the lifecycle to completion.
    • Negotiating Confidentiality and Sales Term Sheets: Negotiate confidentiality and sales term sheets using company templates, ensuring alignment with legal and business requirements.
    • Drafting and Reviewing Legal Documents: Create, proofread, and edit various legal documents, maintaining accuracy and consistency.
    • Scheduling Legal Department Meetings: Coordinate meetings and calls for the legal department with internal clients and external parties, ensuring efficient communication and collaboration.
    • Maintaining Legal Department Files: Organize and maintain files for the legal department, both physical and electronic, ensuring easy access and confidentiality.
    • Managing Legal Department's Shared Drive: Organize and maintain the legal department's shared drive, facilitating efficient document management and retrieval.
    • Filing New Documents: Manage the process of filing new legal documents, ensuring proper documentation and organization.
    • Tracking Litigation and Dispute Matters: Monitor and track litigation and dispute matters, providing updates to relevant stakeholders as necessary.
    • Reviewing Invoices from Outside Counsel: Manage Legal Tracker and review invoices from outside counsel, ensuring accuracy and adherence to budgetary guidelines.
    • Managing Corporate Entities: Oversee a portfolio of corporate entities, ensuring compliance with regulatory filing requirements and maintaining corporate books and records.
    • Managing IP Portfolio: Maintain the company's intellectual property portfolio, including patents and trademarks, and collaborate with outside counsel on IP matters.
    • Assisting with Stakeholder Communications: Support stakeholder communications and records management, including managing records within a cloud-based platform.
    • Assisting with Third-Party Diligence: Manage the third-party diligence process, facilitating due diligence reviews for new customers and vendors.
    • Research and Analysis: Conduct research and analysis of laws, legal articles, judicial decisions, and other legal sources, providing written analysis to support decision-making.

Requirements

Knowledge, Skills, and Abilities:

  • Proficiency using virtual data rooms to upload and organize documents
  • Proficiency in Microsoft Office Suite
  • Experience billing your time
  • Excellent written and verbal communication skills
  • Superb attention to detail, as well as organizational and multitasking skills
  • Ability to multitask
  • Ability to deal effectively with time pressures, stress, and changing demands of job on a regular basis
  • Ability to handle highly confidential business information

Candidates/incumbents must meet the minimum qualifications as detailed below:

  • Paralegal certification or equivalent experience required.
  • Bachelors’ degree, preferred.
  • 7+ years of experience as a Corporate Paralegal or Assistant to the General Counsel
  • In-house experience, required.
