We are looking for a Tax Manager to join our finance team working out of our Boston office.

Novo Holdings is the holding company of the Novo Group and is a Danish private limited liability company wholly owned by the Novo Nordisk Foundation. As of 2023, the Novo Nordisk Foundation had total assets under management of DKK 1,114 billion, including an investment portfolio of DKK 201 billion. The Job

As Tax Manager, you will collaborate with the Head of Tax (based in Copenhagen) to manage all tax matters related to Novo Holdings' investment activities in the US. You will independently advise and support investment teams on tax-related issues. Additionally, you will lead the establishment and implementation of US tax compliance processes for US entities and assets under management, oversee selected tax compliance procedures, and ensure the effectiveness of internal controls for Novo Holdings and the Novo Nordisk Foundation's activities in the US.

Your main tasks will include:

Support the Head of Tax in managing all tax aspects related to Novo Holdings' investment activities in the US.

  • In collaboration with the Head of Tax, ensure reliable, accurate, and timely tax reporting to management regarding our activities in the US.
  • Engage with colleagues at Novo Holdings and the Novo Nordisk Foundation on projects and administrative procedures.
  • In collaboration with the Head of Tax, prepare necessary materials for management and board meetings.
  • In collaboration with the Head of Tax, manage the company’s relationships with tax advisors and tax authorities for Novo Holdings and the Novo Nordisk Foundation (mainly within the US).

Ensure robust knowledge management within the tax function, including tax systems and applications, the fund administration market, consultancies, like-minded tax organizations, and other international foundations.

  • Ensure high quality deal and structuring support to investment teams
  • In collaboration with the Head of Tax, advise management and investment teams on tax-related aspects of new investments and corporate structures (as well as exits of existing investments), primarily focusing on the US, including leading tax due diligence and structuring processes.
  • Coordinate with Novo Holdings' investment teams in Boston and San Francisco on new investments.
  • Implement and maintain tax policies and guidelines within internal investment processes.
  • Advise and support the Novo Nordisk Foundation on tax aspects of new strategic initiatives and corporate structures related to US.

Responsible for tax compliance processes and internal controls in the US

  • Maintain and continuously improve the tax compliance setup, including documentation of key tax processes, risks, and internal controls.
  • Monitor and ensure compliance with corporate tax legislation in the US, hereunder review of US tax returns prepared by external tax preparers, in collaboration with the Head of Tax and with support from external tax advisors and service providers.
  • Coordinate and maintain governance setup for US entities of majority owned subgroups, e.g. related to BEAT, CAMT and other group related tax aspects.
  • Monitor withholding taxes in the US and provide support for any refund of withholding taxes.
  • Assist with transfer pricing documentation obligations in the US.
  • Maintain an ongoing dialogue with local tax authorities.
  • Support tax audits, prepare responses to inquiries from tax authorities, and manage communication and settlement of tax cases in collaboration with tax authorities and external tax advisors.

Support the Head of Tax on the Responsible tax agenda

  • Maintain the Responsible Tax agenda in alignment with the latest trends and developments.
  • Communicate and promote the anchoring of Tax Principles in majority-owned portfolio companies.
  • Conduct annual spot checks on tax behaviors in selected LPs, effective tax rate spot checks on the listed portfolio, and prepare the annual tax report.
  • Ensure tax policies, processes, and guidelines are regularly maintained and updated.

Continuously improve the tax function to manage the continued growth and increasing complexity

  • Drive process improvements by proactively streamlining procedures and reporting.
  • Lead efforts in digitization and automation of tax processes.
  • Anchor, maintain, and expand support from external administrators within group structures in collaboration with the Tax function.

Ad hoc support to other Finance Teams, i.e. on accounting and investment operations tasks

  • Provide support to the Finance Teams on an ad hoc basis related to our activities in the US.

Requirements

Professional Qualifications 

We are looking for a candidate with:

 

  • Masters degree in Economics, Law, and/or Accounting.
  • 10+ years of practical experience from an accounting firm, a multinational corporation, or a legal firm.
  • In-depth knowledge of US and international tax rules.
  • Proven track record of successfully leading M&A tax processes, including tax due diligence, structuring work, corporate restructurings, and cross-border transactions (US inbound investments).
  • Proven track record of successfully managing projects and activities related to taxation, with hands-on experience in tax compliance processes.
  • Experience from an international environment.
  • Demonstrated hands-on approach and success in working within a team-based environment.
  • Advanced IT skills, particularly in Microsoft Office, with a strong focus on Excel and PowerPoint.
