Palm Ventures is a Greenwich, CT single-family office and asset manager that seeks asymmetric returns by investing in distressed companies. In our distressed buyouts we work in partnership with management teams, leveraging our collective strengths and resources to tap an organization’s full potential. In Palm Venture Studios we both acquire early stage distressed companies or assets and seed new startup companies that will be both good businesses and create positive impact for society.
Palm Ventures, LLC is seeking to add a General Counsel to its team to support the firm, its portfolio of companies, and the firm’s Chairman.
The General Counsel will be responsible for leading Palm Ventures’ legal function. The Counsel will work closely with the investment team, company management teams, and external advisors on all aspects of the investment lifecycle of new and existing portfolio investments. Responsibilities will include leading certain aspects of deal diligence and advising on others, creatively brainstorming deal structures, advising and drafting documents related to deal structuring, conducting or supporting negotiations, documentation, and review of deal financing considerations. In addition to investment-related responsibilities, the Counsel will oversee all general corporate, employment, IP, and governance matters for Palm, and play a similar role supporting portfolio companies with general legal matters including employment, leasing, partnership agreements, contracts, with the use of outside legal support where required. This is the first in-house Counsel position at Palm Ventures.
Requirements
You are a great fit for this role if you have:
- A minimum of 15 years of corporate transactional experience, including working in-house and/or law firm(s) that partner with early stage technology founders to grow their companies.
- Familiarity with, and comfort owning, general legal needs of early stage companies.
- Strong business intuition; you are a strategic, innovative thinker, capable of seeing the bigger picture and business landscape of each deal and opportunity.
- A passion for entrepreneurship and the ability to build rapport quickly with the founders and entrepreneurs that we work with.
- Experience advising on mergers and acquisitions, divestitures, joint ventures, strategic investments, and other corporate transactions, including negotiating and drafting related agreements and transaction documents.
- Experience with real estate transactions and leases (ideally).
- Are able to develop or suggest solutions, rather than just identify problems.
