Full Job Description

Direct Counsel is seeking a transactional real estate attorney with 4+ years of experience to join one of our great law firm client's. The attorney will support in the firm's real estate transaction matters, particularly leasing and purchase and sale agreements. Experience with respect to design-build and commercial lending is ideal. The firm’s clients are almost exclusively financial institutions, thus, candidates with experience in financial services are highly preferred.

Requirements

  • Actively handle various types of commercial real estate transactions, including acquisition and dispositions, leasing and operations, title and survey review, and financing on both landlord and tenant side
  • Review title policies and ALTA surveys to ensure conformity with transaction requirements
  • Draft and review initial documentation, obtain necessary approvals, modify documents as needed and coordinate document execution
  • Draft correspondence relating to claims, defenses, and other disputes arising under agreements
  • Negotiate and draft leases, amendments, purchase and sale agreements, letters of intent, deeds, etc. for both buyer and seller
  • Review and monitor agreements with developers, approval of conditions required prior to draw disbursement and developer payment
  • Review and prepare documents associated with purchase and sale agreements, including due diligence procedures, contingencies, title objections, survey and environmental reviews, as well as closing documents and wire transfers
  • Conduct closings and complete post-closing documentation and administration
  • Monitor, research, analyze, and interpret relevant state and federal laws and regulations affecting financial institutions including Truth in Lending Act, Real Estate Settlement Procedures Act, Electronic Fund Transfer Act, Truth in Savings Act, Equal Credit Opportunity Act, Home Mortgage Disclosure Act, and Fair Credit Reporting Act, and federal and state UDAAP laws and regulation

  • Strong interpersonal skills with an ability to interact and communicate effectively with internal and external contacts at all levels
  • Excellent communication, organization, and legal research, writing, and analytical skills
  • Ability to issue spot and provide legal advice on complex legal and regulatory issues
  • Possess a strong work ethic and excellent interpersonal skills

 

Qualifications (Education / Experience)

  • J.D. from a top-tier U.S. law school
  • Licensed in California (additional state license(s) ideal)
  • 4+ years of experience as an attorney at a reputable law firm or in-house legal department
  • Experience working with financial institutions regulated by the NCUA, OCC or state regulators is preferred
